Important Notice to Users
Before registering for membership in biopartnering.com, registering for any TVG LLC (or affiliated) conference or otherwise using this web site, please read the terms of the "User Agreement" displayed below. Technology Vision Group LLC is allowing you to register for membership in biopartnering.com or for a TVG LLC (or affiliated) conference, and access to this web site only upon the condition that you accept all of these terms. By either registering for membership in biopartnering.com or for a TVG LLC (or affiliated) conference, or otherwise using this web site, you are agreeing to be bound by all the terms of this "User Agreement", which includes restrictions on use of displayed materials and a disclaimer of liability. If you do not agree to these terms, do not register for membership in biopartnering.com or for a TVG LLC (or affiliated) conference, or otherwise use this web site because Technology Vision Group LLC does not authorize your access.

User Agreement
This agreement governs the use and rights of access to the Internet web pages of www.biopartnering.com (a subscription based intranet web site compendium of bioscience related businesses, produced by TVG LLC) and www.techvision.com (hereafter collectively the "Web Site") of Technology Vision Group LLC (herein, "TVG LLC"). By accessing the Web Site, you agree to abide by the terms and conditions set out below.

1. User and Fees
Access to the Web Site is available only to "Registered Members". A "Registered Member" is a member who has either registered for membership in biopartnering.com or any TVG LLC (or affiliated) conference and whose then current registration fee has been received by TVG LLC.

All Credit Card transactions are charged in USD using an officially accepted monthly exchange rate from Bank of Canada for CAD and HM Customs for GBP, both of which will differ from the exchange rate used by credit card companies. When you choose to pay by credit card online, you accept these terms and conditions.

Cancellations must be received in writing no later than the opening date of biopartnering.com by e-mailing registration@techvision.com to receive a refund, minus a processing fee of USD $300.00. After biopartnering.com has opened, the registration and presenter fees are non refundable; however, you may send a replacement from your company at no additional charge. No change in conference registration will be made until an email from the Registered Member is received by TVG LLC, clearly stating that the conference registration needs to be cancelled.

Upon receipt of the registration information including company information and the initial registration fee, TVG LLC shall issue the Registered Member a User Name and Password. In the event any Registered Member fails to pay the then current membership or conference registration fee when due, TVG LLC shall void the Registered Member's User Name and Password and such Registered Member shall not be allowed access to the Web Site or any conference.

2. Individual Registration and Access
Each registration is for a single Member only. To access the Web Site, you will be asked for your Individual User Name and Password. Therefore we do not permit any of the following:

Any other person sharing your User Name and Password

Access through a single User Name and Password being made available to multiple users on a network or other basis.

If we reasonably believe that a User Name and password are being used in an unpermitted way, we reserve the right to cancel access rights to the Web Site immediately without notice, and to ban access to all conferences by all Registered Members from that company.

By using the Web Site, each Registered Member represents, warrants, and guarantees that each item comprising the company and/or personal information provided by the Registered Member is true, accurate, complete, and complies with all applicable federal, state, and local law, rules and regulations and does not violate any right of any third party. Each Registered Member hereby grants TVG LLC a nonexclusive right, license, and privilege to use, adapt, copy, scan, digitize, modify, reconfigure, index, enhance, reproduce, create derivative works from, distribute, display, present and publish the company and personal information provided by such Registered Member (excluding payment and credit card information), for the purposes of creating, displaying, and maintaining the Web Site. Each Registered Member shall indemnify, defend and hold TVG LLC harmless from any claim that TVG LLC's use of company and/or personal information provided by such Registered Member containing, copyrighted material, patented material, trade secrets, trademarks, or other intellectual property or proprietary rights is unlawful, illegal, improper or otherwise unauthorized.

By using the Web Site, each Registered Member grants its express consent to TVG LLC that the personal and company information supplied by him/her may be processed in accordance with this user agreement and may be transferred to a country or territory outside the European Economic Area without further act of the Registered Member.

3. Limited Permission to Copy
In respect of the copyright held by TVG LLC and the other authors of the company information submitted for publication to TVG LLC, if any, you are permitted to print or download extracts from the Web Site for your personal use only. No part of the Web Site may be reproduced or transmitted to or stored in any other medium or web site, nor may any pages or part thereof be disseminated in any electronic form, nor duplicated in print or copied, nor included in any public or private electronic retrieval system.

4. Warranties
TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TVG LLC DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, EXCEPT THOSE SPECIFICALLY STATED HEREIN. SUCH EXCLUDED WARRANTIES INCLUDE, BUT ARE NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE IN RELATION TO THIS AGREEMENT, THE SERVICES TO BE RENDERED HEREUNDER AND USE OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, TVG LLC SPECIFICALLY DISCLAIMS ANY WARRANTY (I) THAT ITS SERVICES OR USE OF ITS SOFTWARE, HARDWARE OR WEB SITE WILL BE UNINTERRUPTED OR ERROR-FREE; (II) THAT DEFECTS IN ITS SOFTWARE, HARDWARE OR WEB SITE WILL BE CORRECTED; (III) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS IN ITS SOFTWARE OR DATA TRANSMISSIONS; (IV) THAT THE SECURITY METHODS USED BY TVG LLC IN PROVIDING SERVICES WILL BE SUFFICIENT, OR (V) REGARDING CORRECTNESS, ACCURACY OR RELIABILITY OF ITS SOFTWARE, HARDWARE, INTERNET CONNECTIONS, OR DATA.

5. Display of material
TVG LLC shall post the company and personal information supplied by the Registered Member on the Web Site in accordance with the policies set forth herein provided that said materials are not harmful or objectionable to TVG LLC and do not violate any rights of third parties or existing laws, i.e. do not violate copyright laws or any proprietary rights of any person, are not slanderous, etc. For registered conference Members, the material shall be posted at no charge until two months after the completion of the registered conference. The material shall be posted according to the sections laid out online. TVG LLC has the right to exclude, edit or otherwise change any materials requested to be displayed on the Web Site.

6. Disclaimer of Liability
In general, TVG LLC shall have no liability to you, under any theory, for any inability to access, or any interruption or delay in access to, the Web Site irrespective of the cause. Without limiting the generality of the foregoing, TVG LLC will not be liable for any damage, including, without limitation, incidental, special, consequential, punitive, or exemplary damages or damages for lost business profits, or losses in contract, tort, or otherwise arising from the use or inability to use the Web Site and the company and personal material contained in it (including any error or omission therein), or from any action or decision taken as a result of using any such material. Each Registered Member who posts materials on the Web Site shall indemnify, defend and hold TVG LLC harmless from any and all loss, damage, and/or expense (including reasonable attorneys' fees) that TVG LLC may suffer or incur by reason of any claim or the defense of any claim relating to the person or company materials they have displayed on the Web Site.

Notwithstanding anything to the contrary contained in this agreement, TVG LLC's Liability under any theory is limited to a return of the registration fee should the conference be cancelled or postponed due to reasons within TVG.LLC's reasonable control. However, TVG LLC shall not be obligated to return any registration fee if the conference is cancelled or postponed for any reason beyond TVG,LLC's reasonable control.

7. Privacy Policy
Information Collection and Use
TVG LLC is the sole owner or licensee of the information collected from Registered Members and/or others through registration or otherwise on the Web Site. We will not sell, share, or rent this information to others in ways different from what is disclosed in this statement. TVG LLC collects information from our users and affiliates at several different points on our web site including, without limitation, information collected when you register. To access information from the Web Site, you must first register with us for either membership in biopartnering.com or for a TVG LLC (or affiliated) conference. When filling out our membership or conference registration form you are required to give us your company information including your personal contact information (such as name, company, street address, phone number, fax number, and E-mail address) along with your payment (credit card) information. For the terms and conditions of Registration and Access, please see "Individual Registration and Access", above. For more information on our sharing policies, please see "Sharing" below.

Sharing
We will utilize your personal contact information in a manner reasonably required to operate the Web Site and the TVG LLC (or affiliated) conferences and ensure compliance by each Registered Member with the terms and conditions of this User Agreement. Thus, we will make available all of your contact information (except your credit card information and Password) to all other Registered Members, affiliates and partners of TVG LLC. By registering for membership in biopartnering.com and/or any TVG LLC (or affiliated) conference and submitting your personal and company information to TVG LLC you agree that TVG LLC, it's affiliates and partners may use the information for the following purposes:

1. For reproduction, replication, publication, display, dissemination, and transmission to, and downloading and printing for personal use by, Registered Members (delegates) of any conference sponsored, produced or otherwise conducted by TVG LLC or any affiliate of TVG LLC; and/or

2. For reproduction, replication, publication, display, dissemination, and transmission to, and downloading and printing for personal use by, Registered Members of the Web Site.

TVG LLC shall have the right to exclude or otherwise edit any personal or company information submitted for display on the Web Site. Each Registered Member who submits company or personal information to TVG LLC shall indemnify, defend and hold TVG LLC harmless from any and all claims, losses, damages, and/or expenses (including reasonable attorneys' fees) that TVG LLC may suffer or incur and that relate in any manner to such company or personal information including, without limitation, any error or omission therein.

Security
Our Web Site takes every reasonable precaution to protect your information. Web Site security is reviewed regularly to ensure we are up-to-date with industry standards and technology. To ensure that your credit card information is even more secure, we encrypt all credit card information and store it on a server that is not accessible on the Internet. Once we store that information, it cannot be displayed anywhere on the Web Site. Internally, we take extra precautions to limit access to users' information. Only certain limited individuals within our company are given degrees of access to users' personal information according to job function and necessity. All employees are kept up-to-date on our security and privacy practices. Finally, the servers on which we store personally identifiable information are kept in a secure environment.

Legal Disclaimer
We may disclose personal information when required by law or in the good faith belief that such action is necessary in order to conform to the edicts of the law or comply with a legal process served on us.

Notification of Changes
If we decide to change our privacy policy, we will post those changes on our Privacy Policy page in this User Agreement so you are aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. If at any point TVG LLC decides to use personally identifiable information in a manner different from that stated at the time it was collected, we will take commercially reasonable measures to obtain E-mail consent from you. You will have a choice as to whether or not we use your information in this different manner. We will still use information in accordance with the privacy policy under which the information was collected.

8. Termination
If for reasons within the sole discretion of TVG LLC, TVG LLC terminates access to the Web Site, we will notify you at the address you provide upon registration, and you will be deemed to have received it within one hour of transmission by E-mail and/or fax. Termination will be effective at that time, so that your User Name and Password will no longer provide access to the Web Site. You are responsible for notifying us of any changes to your E-mail address or fax number.

9. Changes to the Agreement
In view of the unknown demand and use of the Web Site, we reserve the right to add to or change the terms of this Agreement. Any changes will be posted to the Web Site and you will be notified by E-mail. Changes will be effective three hours after first posting them on the Web Site and you will be deemed to have accepted any change if you continue to access the Web Site after that time.

10. Additional Terms and Conditions for Conference Delegates
All Registered Members registering for a TVG LLC (or affiliated) conference agree to the additional terms and conditions of this Agreement as may apply to each conference and as shall be posted on the Web Site, on the web site of such affiliate and/or at the conference venue.

This agreement will be displayed only on the user's initial access, and will not be displayed again unless there are changes to the agreement.
By submitting your information, you are accepting the terms you have read. If you do not accept these terms please do not submit your Registration.
